These Terms of Service (“Terms”) govern your access to and use of the website operated by Amino Annex, LLC (“Company,” “we,” “us,” or “our”) and the purchase of products offered through our website.

By accessing this website or placing an order, you agree to be bound by these Terms and all related policies referenced herein. If you do not agree to these Terms, you must not use this website or purchase products.


1. Research Use Only

All products sold by Amino Annex, LLC are strictly intended for in-vitro laboratory research purposes only.

Products are:

  • Not intended for human consumption
  • Not intended for veterinary use
  • Not intended for medical, diagnostic, therapeutic, or clinical application
  • Not intended for the treatment, cure, mitigation, or prevention of any disease

Purchaser represents and warrants that products will be handled only by qualified professionals trained in laboratory procedures and in compliance with all applicable laws and regulations.

The Company does not provide dosage guidance, medical advice, or instructions for human use.


2. Eligibility

You must be at least eighteen (18) years of age to access this website or purchase products. By placing an order, you represent that you meet this age requirement.

We reserve the right to refuse service or cancel orders at our sole discretion.


3. Orders & Acceptance

All orders placed through our website are subject to acceptance by the Company.

We reserve the right to:

  • Cancel or refuse any order
  • Limit quantities purchased
  • Verify billing or shipping information
  • Request additional identification or documentation

An order confirmation does not constitute final acceptance. Orders may be canceled prior to shipment at our discretion.


4. All Sales Final

Due to the specialized nature of laboratory research materials, all sales are final.

We do not accept returns, exchanges, or provide refunds once an order has been processed or shipped, except in limited circumstances outlined in our Refund Policy.

By placing an order, you acknowledge and agree that all purchases are non-refundable.


5. Payment Authorization

By submitting payment information, you represent and warrant that:

  • You are authorized to use the payment method provided
  • The payment information is accurate
  • You authorize the Company to charge the full order amount

We reserve the right to cancel any transaction suspected of fraud or unauthorized use.

If payment is made via ACH, you authorize electronic debit in accordance with NACHA rules and applicable banking regulations.


6. Chargebacks & Disputes

Customer agrees to contact the Company directly to resolve any concerns before initiating a chargeback or payment dispute.

Initiating a chargeback without first attempting resolution may constitute breach of these Terms.

The Company maintains transaction records including:

  • IP address
  • Billing and shipping details
  • Order timestamps
  • Payment authorization logs
  • Carrier delivery confirmation

These records may be submitted in response to payment disputes.

The Company reserves the right to pursue recovery of funds and associated fees where legally permitted.


7. Shipping & Risk of Loss

Shipping timelines provided are estimates and not guarantees.

Risk of loss transfers to the purchaser upon confirmed delivery by the carrier.

Customer is responsible for providing accurate shipping information. The Company is not responsible for delays caused by carriers or incorrect address submissions.

Signature confirmation may be required for high-value orders.


8. Product Handling & Compliance

Purchaser assumes all responsibility for:

  • Proper storage
  • Safe handling
  • Lawful use
  • Regulatory compliance in their jurisdiction

Purchaser agrees to comply with all local, state, federal, and international laws applicable to the purchase and use of products.


9. Limitation of Liability

To the fullest extent permitted by law, the Company’s liability shall be limited to the total amount paid for the product giving rise to the claim.

Under no circumstances shall the Company be liable for:

  • Indirect or consequential damages
  • Loss of profits
  • Personal injury
  • Misuse of products
  • Regulatory violations by purchaser

10. Indemnification

Purchaser agrees to indemnify and hold harmless [Company Name], LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising out of:

  • Misuse of products
  • Violation of applicable laws
  • Breach of these Terms

11. Intellectual Property

All website content including text, graphics, logos, and product information is the property of the Company and may not be reproduced without written permission.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.


13. Arbitration Agreement

Any dispute arising out of or relating to these Terms or the purchase of products shall be resolved through binding arbitration conducted in the State of Illinois.

Customer agrees to waive the right to:

  • Participate in a class action lawsuit
  • Trial by jury

Arbitration shall be conducted in accordance with the rules of a recognized arbitration body agreed upon by the parties.


14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.


15. Modifications

The Company reserves the right to update or modify these Terms at any time without prior notice. Continued use of the website constitutes acceptance of the revised Terms.

17. Shipping Protection (Route) & Fraud Prevention

17.1 Optional Shipping Protection

We may offer optional third-party shipping protection services (including but not limited to Route) at checkout. Shipping protection is administered by the third-party provider and is subject to that provider’s separate terms and conditions.

The Company is not responsible for claim determinations made by the third-party shipping protection provider.


17.2 Customer Responsibility

By purchasing shipping protection, the customer agrees to:

  • Provide truthful and accurate information in any claim submission
  • Cooperate with any investigation conducted by the shipping protection provider
  • Submit claims only for legitimate lost, damaged, or stolen shipments

False, misleading, or exaggerated claims constitute fraud.


17.3 Fraudulent Claims & Abuse

The Company strictly prohibits abuse of shipping protection services, including but not limited to:

  • Filing false claims for delivered packages
  • Claiming non-delivery when carrier confirms delivery
  • Submitting altered or fabricated documentation
  • Repeatedly claiming loss without substantiating evidence
  • Coordinating fraudulent claims

We reserve the right to:

  • Deny future shipping protection eligibility
  • Cancel pending orders
  • Refuse future service
  • Permanently ban accounts
  • Share claim data with shipping carriers, payment processors, and fraud prevention networks where legally permitted

Fraudulent activity may be reported to:

  • Payment processors
  • Shipping carriers
  • Insurance providers
  • Appropriate authorities

17.4 Risk of Loss Without Shipping Protection

If a customer declines shipping protection, risk of loss transfers to the purchaser upon confirmed carrier delivery.

Claims for lost, stolen, or damaged packages may be limited or denied if shipping protection was declined.


17.5 Account Suspension & Termination

We reserve the right, at our sole discretion, to suspend or permanently terminate any account engaging in:

  • Fraudulent disputes
  • Repeated chargebacks
  • Abuse of shipping protection
  • Suspected fraudulent behavior
  • Violation of these Terms

Account termination may occur without prior notice.


17.6 No Waiver of Rights

Nothing in this section limits the Company’s right to pursue civil remedies, recover financial losses, or report fraudulent activity as permitted by law.
